1 Acceptance of These Terms

These Terms of Service ("Terms") are a binding agreement between you and Guardian Sarah LLC ("Guardian Sarah," "we," "us," or "our"), a Wisconsin limited liability company located in Dane County, Wisconsin. They govern your access to and use of the Guardian Sarah voice companion service, family and staff dashboard, mobile and web applications, and related websites and tools (together, the "Service").

By creating an account, enrolling a resident or family member, signing an order form or pilot agreement, or otherwise using the Service, you confirm that you have read, understood, and agreed to these Terms and to our Privacy Policy. If you are agreeing on behalf of a company, facility, or organization, you represent that you are authorized to bind that entity.

2 Description of the Service

Guardian Sarah provides a proactive AI voice companion named "Sarah" that speaks through a home speaker or compatible device to check in on aging adults several times per day. The Service may include friendly conversation, daily wellness check-ins, reminders, a family dashboard, a Story Vault for capturing life stories, and care-coordination notes for family members and care staff.

The voice you interact with is generated by artificial intelligence. It is not a live human and is not a licensed caregiver, nurse, therapist, or physician. We may improve, change, add, or remove features at any time.

3 Not a Medical or Emergency Service

This is the most important section of these Terms. Please read it carefully.

Guardian Sarah is a wellness and companionship service only. It is not a medical device, clinical service, telehealth provider, monitoring system, or emergency-response system. It does not diagnose, treat, or prevent any illness or condition, and it cannot detect or respond to medical emergencies, falls, or other urgent situations. In any emergency, always call 911. Do not rely on Guardian Sarah for safety monitoring or to summon help.

Guardian Sarah does not replace medical care, professional caregiving, in-person supervision, or any emergency or alert system. You should keep all existing medical, caregiving, and emergency arrangements in place. We are not responsible for any decision made, or action not taken, based on information from the Service.

4 Eligibility & Accounts

The Service is intended for adults. You must be at least 18 years old to create an account or enroll someone. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Notify us promptly at support@guardiansarah.com if you believe your account has been accessed without authorization.

You agree to provide accurate, current, and complete information when enrolling yourself or a senior, and to keep that information up to date.

5 Your Responsibilities & Consent

If you enroll another person (such as an aging parent or relative), you represent that you have the authority and the appropriate consent to do so, and that you will inform that person that Guardian Sarah is an AI voice companion and that calls may be recorded as described in our Privacy Policy.

6 Care Facilities & Agencies

If you are an assisted-living facility, home-care agency, or other organization using Guardian Sarah for residents or clients, additional terms in your signed order form or pilot agreement apply alongside these Terms. You represent that you have obtained all necessary consents from each resident or client (and, where appropriate, their legal representatives) before enrollment, and that you will disclose to residents that Sarah is an AI companion. You are responsible for your staff's use of the Service and for the accuracy of resident information you enter.

7 Fees, Billing & Cancellation

Fees for the Service — including any one-time setup fee and recurring subscription fee — are described at the time of enrollment or in your order form or pilot agreement. Recurring fees are billed in advance on a periodic basis through our payment processor (Stripe). By providing payment information, you authorize us to charge the applicable fees.

9 Calls, Recordings & Data

The Service places automated voice calls and may record and transcribe conversations to deliver and improve the Service, as described in our Privacy Policy. By using the Service, you consent to this and confirm you have obtained any consent required from enrolled individuals. Our collection and use of personal information is governed by the Privacy Policy, which is incorporated into these Terms by reference.

10 Intellectual Property

The Service, including the "Sarah" persona, software, designs, text, and branding, is owned by Guardian Sarah LLC and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose while your account is active. Life stories and content you provide remain yours; you grant us the rights needed to store, process, and present that content to deliver the Service.

11 Third-Party Services

The Service relies on third-party providers (for example, voice infrastructure, payment processing, and hosting). We are not responsible for the availability, accuracy, or acts of third-party services, and your use of them may be subject to their own terms.

12 Disclaimers of Warranty

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, timely, or that every scheduled call will be completed. You acknowledge that voice technology and network conditions can cause delayed, missed, or imperfect calls.

13 Limitation of Liability

To the maximum extent permitted by law, Guardian Sarah LLC and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from injury, illness, emergency, missed call, or reliance on the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the three (3) months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14 Indemnification

You agree to indemnify and hold harmless Guardian Sarah LLC from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your enrollment of another person without proper consent or authority, or your violation of these Terms or applicable law.

15 Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or use the Service in a way that creates risk or harm. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will survive.

16 Governing Law & Disputes

These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Dane County, Wisconsin will have exclusive jurisdiction over any dispute arising from these Terms or the Service, and you consent to venue there. Before filing any claim, you agree to first contact us at support@guardiansarah.com so we can try to resolve the matter informally.

17 Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, provide reasonable notice. Your continued use of the Service after changes take effect means you accept the updated Terms.
